Terms of Service

1. Acceptance of Terms

By accessing or using the IronEagle platform ("Service"), operated by IronEagle ("Company", "we", "us", "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

These Terms constitute a legally binding agreement between you and the Company. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Eligibility

• You must be at least 16 years of age (or the minimum age of digital consent in your jurisdiction) to use the Service.
• If you are between 16 and 18 years of age, you must have the consent of a parent or legal guardian.
• You must not be legally prohibited from using the Service under the laws of your jurisdiction.
• Accounts previously suspended or terminated by us may not be recreated without our express written permission.

3. Account Registration

• Accuracy: You must provide accurate, current, and complete information during registration and keep it updated.
• Security: You are responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately of any unauthorized access.
• One Account: Each individual may maintain only one account unless explicitly authorized by us for business use (workspace accounts).
• Workspaces: Workspace features allow team collaboration. The workspace owner is responsible for managing members and their access levels.

4. Service Description

IronEagle provides an AI-powered creative platform that includes, but is not limited to:

• AI Image Generation: Text-to-image and image-to-image generation using various AI models.
• AI Video Generation: Text-to-video and image-to-video generation for cinematic content creation.
• Cinema Studio: A professional timeline-based video editor with multi-track compositing, audio mixing, AI captions, and export capabilities.
• Asset Management: Cloud storage for your generated and uploaded media assets.
• Community Features: Public galleries, creator profiles, prompt sharing, and community interactions.

We reserve the right to modify, suspend, or discontinue any feature of the Service at any time, with or without notice.

5. Credits, Billing & Subscriptions

5.1 Credit System

• The Service operates on a credit-based system. Different AI operations consume different amounts of credits based on model, resolution, duration, and quality settings.
• Credit balances are non-transferable between accounts unless part of a workspace.
• Unused credits from one-time purchases do not expire. Subscription credits may have a validity period as specified in your plan.

5.2 Payments

• All payments are processed by Stripe. By making a purchase, you agree to Stripe's terms of service.
• Prices are displayed in USD unless otherwise indicated. Applicable taxes are calculated at checkout.
• Subscription plans renew automatically unless cancelled before the next billing period.

5.3 Refunds

• Credit purchases are generally non-refundable once credits have been used.
• For unused credit packs purchased within the last 14 days, you may request a refund by contacting support.
• If an AI generation fails due to a system error (not a content policy violation), the credits will be automatically refunded to your account.

6. Content Ownership & Licensing

6.1 Your Content

You retain all rights to the original content you upload to the Service (images, videos, audio, text prompts). By uploading content, you grant us a limited, non-exclusive, worldwide license to process, store, and display your content solely for the purpose of operating and improving the Service.

6.2 AI-Generated Content

• Subject to your compliance with these Terms and applicable law, you may use AI-generated content for personal and commercial purposes.
• You acknowledge that AI-generated content may not be eligible for copyright protection in all jurisdictions. The legal status of AI-generated works varies by country and is evolving.
• You are solely responsible for ensuring your use of AI-generated content complies with applicable laws, including intellectual property laws.
• We do not claim ownership over content generated by you using the Service.

6.3 Community Content

When you publish content to public galleries or community features, you grant other users a non-exclusive license to view and interact with your content as enabled by the platform features. You may remove your public content at any time.

7. Acceptable Use Policy

You agree not to use the Service to:

• Generate, upload, or distribute child sexual abuse material (CSAM) or any content depicting minors in sexual or exploitative contexts.
• Create deepfakes or non-consensual intimate imagery of real persons.
• Generate content that promotes terrorism, violent extremism, or incites violence against individuals or groups.
• Create content for the purpose of harassment, bullying, defamation, or intimidation of any person.
• Impersonate another person or entity with the intent to deceive.
• Generate content that infringes upon the intellectual property rights of third parties.
• Attempt to reverse-engineer, decompile, or extract the AI models or algorithms used by the Service.
• Use automated tools (bots, scrapers) to access the Service without our written permission.
• Circumvent rate limits, security measures, or access controls.
• Use the Service for any illegal purpose or in violation of any applicable local, national, or international law.
• Resell or redistribute access to the Service without authorization.

We reserve the right to remove content and suspend or terminate accounts that violate this policy, at our sole discretion and without prior notice.

8. AI-Generated Content Disclaimers

• No Guarantee of Output Quality: AI-generated content may contain artifacts, inconsistencies, or inaccuracies. Results vary based on prompts, model selection, and other factors.
• Content Moderation: We employ automated and manual content moderation. Some prompts may be rejected or outputs filtered to comply with our acceptable use policy.
• Model Availability: AI models are provided by third-party providers and may be updated, changed, or discontinued without notice. We do not guarantee the perpetual availability of any specific model.
• Your Responsibility: You are solely responsible for reviewing AI-generated content before use and ensuring it is appropriate for your intended purpose.

9. Intellectual Property

The Service, including its design, code, branding, logos, UI elements, documentation, and all underlying technology, is the property of IronEagle and is protected by intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.

The "IronEagle" name, logo, and all related marks are trademarks of the Company. You may not use our trademarks without prior written permission.

10. Third-Party Services

The Service integrates with or relies upon third-party services, including AI model providers, payment processors, authentication providers, and cloud infrastructure. Your use of these third-party services is subject to their respective terms and privacy policies. We are not responsible for the practices, availability, or content of third-party services.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND TITLE.

We do not warrant that:

• The Service will be uninterrupted, error-free, or secure.
• Results obtained from the Service will be accurate or reliable.
• Any defects in the Service will be corrected.
• The Service will meet your specific requirements.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL IRONEAGLE, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to, use of, or inability to use the Service.
• Any conduct or content of any third party on the Service.
• Unauthorized access, use, or alteration of your transmissions or content.
• Any AI-generated content or its use by you or third parties.

Our total aggregate liability for all claims arising from or related to the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the event giving rise to the liability, or one hundred US dollars ($100), whichever is greater.

13. Indemnification

You agree to indemnify, defend, and hold harmless IronEagle and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney's fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your content or AI-generated content you create, use, or distribute; or (d) your violation of any rights of a third party.

14. Termination

• By You: You may delete your account at any time through your account settings. Upon deletion, your data will be removed in accordance with our Privacy Policy.
• By Us: We may suspend or terminate your account at any time for violation of these Terms, at our sole discretion, with or without prior notice.
• Effect of Termination: Upon termination, your right to use the Service ceases immediately. Unused credits are forfeited upon termination for cause. Sections 6, 9, 11, 12, 13, and 15 survive termination.

15. Governing Law & Dispute Resolution

• Governing Law: These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles.
• Arbitration: Any dispute arising from these Terms shall be resolved through binding arbitration under the rules of the American Arbitration Association (AAA), conducted in English.
• Class Action Waiver: You agree to resolve disputes with us on an individual basis and waive any right to participate in a class action lawsuit or class-wide arbitration.
• Exceptions: Either party may seek injunctive or equitable relief in a court of competent jurisdiction for claims related to intellectual property infringement.

16. Changes to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will notify you by updating the "Last updated" date and, for significant changes, through email or an in-app notification at least 30 days before the new terms take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.
